UCSC Lifelong Learners Proposed By-Law Amendments


The following By-Law amendments will be submitted to the membership for approval at the LLL General Meeting to be held at the Stevenson College Event Center at 10 a.m. on October 18, 2009.

1. Name Change

Article 1, NAME, is amended to read:

“The name of this organization shall be Osher Lifelong Learning Institute at the University of California, Santa Cruz.”

Article 2, OBJECTIVES AND PURPOSE, section 1, EDUCATIONAL, is amended

by changing subsection B to read:

“B. To encourage greater participation by the community in the Osher Lifelong Learning Institute at the University of California, Santa Cruz.”

EXPLANATION: This amendment changes the name of our organization to Osher Lifelong Learning Institute at the University of California, Santa Cruz, and is required to enable us to apply for funding from the Bernard Osher Foundation. By voting for this amendment you are indicating that you approve of our applying for Osher funding and becoming an Osher Lifelong Learning Institute. The LLL Board of Directors unanimously recommends that you vote for this measure.

2. Adding to Objectives and Purposes

Article 2, OBJECTIVES AND PURPOSE, section 1, EDUCATIONAL, is amended
by adding the following subsection:

“D. To offer non-credit courses and educational opportunities designed for mature adults.”

EXPLANATION: This amendment is not strictly required to enable us to apply for funding from the Bernard Osher Foundation but it provides a useful amplification of our mission that is compatible with Osher funding. The LLL Board of Directors unanimously recommends that you vote for this measure.



3. Allowing Mail Ballots

Article 7, AMENDMENTS, is amended to read as follows:

“A. These By-Laws may be amended by a mail ballot, or at any membership meeting of the organization, by a 2/3 vote of the members present, or in the case of a mail ballot, by a 2/3 vote of the members voting, provided that the proposed amendment(s) shall have been mailed and received by the membership before the called meeting.


EXPLANATION: This is a housekeeping amendment. It is not required to enable us to apply for funding from the Bernard Osher Foundation, but it provides a desirable clarification of our By-Laws. The Board of Directors recommends that you vote for this measure.
